General Meeting Communication

UPPSALA, Sweden, December, 2023

At IMINT’s extraordinary general meeting on December 14, 2023, the shareholders decided on the following, among other things:

Share consolidation: It was decided to consolidate the company’s shares, whereby two (2) existing shares are merged into one (1) new share, in order to achieve an appropriate number of shares for the company.
If a shareholder’s holding of shares does not correspond to a full number of new shares, Quinary Investment AB will receive, free of charge, one (1) additional share so that their holdings thereafter are evenly divisible by two (2).
It was decided to authorize the board to determine the date of the consolidation. When such a date has been determined, it will be announced in a separate procedure.

New articles of association: It was decided to adopt new articles of association. In addition to changing the limits to the number of shares due to the consolidation of the company’s shares, it was decided that the company’s trade name should be “Vidhance AB”.

Election of a new board member: It was decided that the number of board members should be four (4) without substitutes. Andreas Lifvendahl was elected as a new board member. Andreas has been the CEO of Imint between 2012 and 2023, after previously having been the company’s sales director between 2010 and 2011. He is also a board member of the well-known business incubator Uppsala Innovation Center and technology company Percepio AB. Andreas has over 15 years of experience in global large-scale sales and sales management in Europe, the US, and Asia in markets such as software and the semiconductor industry. He holds a Master of Engineering degree in Engineering Physics from Uppsala University and has additional academic education in business law (Uppsala University) and business administration (the School of Business).

Johan Qviberg, Erik Axelsson, and Yvonne Mårtensson remain in their positions.
